Terms of Service

1. Acceptance of Terms
By accessing or using MedAgento ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a medical practice or organization, you represent that you have authority to bind that entity to these terms. If you do not agree, do not use the Service. We may update these terms with 30 days' notice, and your continued use constitutes acceptance.
2. Description of Service
MedAgento provides a cloud-based medical practice management platform including scheduling, clinical documentation, e-prescribing, lab management, billing, patient portal, and AI-assisted features. The Service is designed to support, not replace, clinical decision-making. MedAgento is a practice management tool and does not provide medical advice, diagnoses, or treatment recommendations.
3. Accounts and Responsibilities
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate and complete registration information.
- You are responsible for all activity under your account.
- You must notify us immediately of any unauthorized access.
- Practice administrators are responsible for managing user roles and permissions.
- You must ensure that all users in your practice receive appropriate training.
4. HIPAA and Compliance
We will enter into a Business Associate Agreement (BAA) with each covered entity. Both parties agree to comply with HIPAA, HITECH, and applicable state privacy laws.
- You are responsible for obtaining necessary patient consents for use of the platform.
- You must ensure that your use complies with all applicable healthcare regulations in your jurisdiction.
- We maintain HIPAA-compliant administrative, physical, and technical safeguards.
- All access to Protected Health Information (PHI) is logged in an immutable audit trail retained for a minimum of 6 years.
- A free BAA is available on all plans.
5. AI Features Disclaimer
AI-generated content (including documentation suggestions, coding recommendations, lab interpretation, and clinical alerts) is provided as decision support only.
- The treating provider is solely responsible for all clinical decisions.
- AI suggestions must be reviewed and approved by a licensed healthcare provider before being finalized in the medical record.
- MedAgento makes no warranties about the accuracy or completeness of AI-generated content.
- All AI-generated content is clearly labeled as AI-generated.
- Your raw clinical data is never used for model training.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Share account credentials with unauthorized individuals.
- Attempt to access other users' data without authorization.
- Reverse engineer, decompile, or disassemble the Service.
- Use the Service to store data not related to medical practice operations.
- Interfere with or disrupt the Service or its infrastructure.
- Use automated scripts, bots, or scrapers to access the Service.
- Transmit malware, viruses, or other harmful code.
7. Subscription and Payments
- Subscriptions are billed monthly or annually as selected at signup.
- Prices may change with 30 days' advance written notice.
- You may cancel at any time; service continues through the paid period.
- Full refunds are available within the first 30 days of service.
- Late payments may result in service suspension after 15 days' notice.
- All fees are exclusive of applicable taxes.
8. Data Ownership and Portability
You retain full ownership of all data you enter into the platform, including clinical records, patient information, and practice data. We do not claim ownership of your data.
- Upon termination, you may export your data in standard formats (CSV, JSON, PDF).
- We will provide data export support for 90 days after account closure.
- After the 90-day export period, your data will be permanently deleted, except for records we are legally required to retain.
9. Service Availability
We target 99.9% uptime for the platform. Scheduled maintenance will be communicated at least 48 hours in advance and performed during low-usage hours. We are not liable for downtime beyond our reasonable control, including force majeure events, third-party service outages, or issues resulting from your network or equipment. Current service status is available at medagento.com/status.
10. Limitation of Liability
MedAgento is a practice management tool and does not provide medical advice. We are not liable for clinical outcomes resulting from use of the platform or reliance on AI-generated suggestions. Our total liability for any claims arising from or related to these terms is limited to the fees you paid in the 12 months preceding the claim. In no event shall MedAgento be liable for indirect, incidental, special, consequential, or punitive damages.
11. Termination
Either party may terminate this agreement at any time.
- You may cancel your subscription through your account settings or by contacting support.
- We may suspend or terminate your account immediately if you violate these terms, fail to pay fees after notice, or engage in activity that threatens platform security.
- Upon termination, your access to the platform will cease, but your right to export data will continue for 90 days.
12. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these terms will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations or security breaches.
